TERMS OF USE & SERVICE AGREEMENT

Effective Date: 1/29/2026

1. DESCRIPTION OF SERVICES

Blue Bulldog Marketing offers the following services: operations consulting, AI workflow automation, process optimization, compliance system development, marketing operations architecture, and fractional CMO services (collectively, the "Services").


2. DELIVERABLES AND INTELLECTUAL PROPERTY

2.1 Work Product

Deliverables may include workflow documentation, automation systems, process frameworks, strategic recommendations, compliance tools, and related consulting materials. All deliverables will be provided in the format agreed upon in the project scope.


2.2 Proprietary Assets

We retain ownership of our proprietary methodologies, frameworks, templates, and automation tools developed prior to or independently of client engagements. Client-specific implementations and deliverables created under a paid engagement become the property of the client upon full payment, unless otherwise specified in writing.


2.3 Source Code and Systems

For automation and software development projects, source code and system architecture files are provided only when explicitly included in the project scope. We reserve the right to protect proprietary techniques, frameworks, and assets that constitute our competitive advantage.


3. ENGAGEMENT TERMS

3.1 Modifying or Cancelling Services

To change or cancel services, contact us via email at jen@bluebulldogmarketing.com or call during business hours (8am-6pm EST, Monday-Friday). We will accommodate changes within the scope of our original agreement when possible.


3.2 Cancellation After Work Commencement

Services cannot be cancelled once initial deliverables have been provided and revisions have been requested. Monthly retainer services require 30 days written notice for cancellation.


4. REFUND POLICY

4.1 Definitions

  • Client: The person, company, or entity that requests services
  • Deliverable: The work product, documentation, systems, or recommendations provided under the engagement
  • Order: The initial service request and agreed-upon scope of work

4.2 Satisfaction Guarantee

If deliverables fail to meet the criteria specified in the original scope of work due to our error or oversight, the following process applies:

  1. Client must notify us in writing within 48 hours of receiving deliverables
  2. Written notice must include specific reasons for dissatisfaction
  3. We will respond within 48 hours with a remediation plan
  4. We have 5 business days to re-submit revised deliverables
  5. Client has 48 hours to accept or reject revised deliverables

4.3 Refund Process

If revised deliverables are rejected, the client may choose to:

  • Request further improvements (following the process above), or
  • Request a refund of fees paid for that specific deliverable

Refunds are issued at our discretion within 30 business days and are subject to review of the validity of concerns raised.


4.4 Refund Limitations

We reserve the right to refuse refunds when:

  • Insufficient or invalid reasoning is provided
  • Client requirements changed after project commencement without formal scope modification
  • Client failed to provide necessary information or access in a timely manner
  • Services were delivered according to the agreed-upon scope

4.5 Monthly Retainer Services

Retainer fees are non-refundable once the service period has begun. Unused hours do not roll over unless specified in the service agreement.


5. NO GUARANTEE OF RESULTS

Client acknowledges that Blue Bulldog cannot guarantee specific business outcomes, revenue increases, efficiency gains, or other results from services rendered. Services will be executed professionally and in accordance with industry best practices, but specific outcomes depend on numerous factors outside our control.


6. LIABILITY LIMITATIONS

6.1 Limitation of Liability

Blue Bulldog shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or business interruption, regardless of whether we have been advised of the possibility of such damages.


6.2 Maximum Liability

Our total liability for any claim arising from services provided shall not exceed the total fees paid by the client for the specific services giving rise to the claim.


6.3 Full Settlement

Any refund paid constitutes full and final settlement of our financial liability for any loss or damage incurred by the client.


7. FORCE MAJEURE

Blue Bulldog shall be excused from delays or failures in performance caused by events beyond our reasonable control, including acts of God, war, natural disasters, strikes, labor disputes, government actions, or technological failures.


8. WEBSITE TERMS OF USE

8.1 Service Provision

Blue Bulldog provides informational content through our website. Users must provide their own internet connection and equipment.


8.2 Disclaimer of Warranties

The website is provided "as is" and "as available" without warranties of any kind, express or implied. We make no guarantees regarding accuracy, reliability, or uninterrupted access.


8.3 Third-Party Links

Our website may link to third-party sites. We are not responsible for the content, accuracy, or practices of external sites. Users access third-party sites at their own risk.


8.4 Vendor Information

Information about third-party tools, software, or services is provided for reference only. We make no warranties regarding third-party products or services.

Client agrees that Florida courts shall have exclusive jurisdiction for disputes arising from this agreement.


10.3 Client Compliance

Client is responsible for compliance with all applicable laws and regulations in their use of our services. Client may not use services for illegal purposes or in violation of any regulations.


10.4 Indemnification

Client agrees to indemnify and hold Blue Bulldog harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from client's use of services or violation of this agreement.


11. INTELLECTUAL PROPERTY

11.1 Blue Bulldog Content

All content on our website and in our materials, including design, text, graphics, and selection/arrangement thereof, is protected by copyright and other intellectual property rights.


11.2 Trademark

"Blue Bulldog" and associated marks are proprietary trademarks. Use without written permission is prohibited.


11.3 Restrictions

Clients may not reproduce, modify, distribute, or commercially exploit our materials without written authorization. Use of automated tools to scrape or copy website content is prohibited.


12. GENERAL PROVISIONS

12.1 Entire Agreement

This agreement, along with any executed service agreements, constitutes the entire agreement between parties.


12.2 Modifications

We reserve the right to modify these terms at any time. Modifications become effective upon posting to our website. Continued use of services constitutes acceptance of modified terms.


12.3 Assignment

Blue Bulldog may assign this agreement to third parties in the event of merger, acquisition, or business sale.


12.4 Severability

If any provision is found unlawful or unenforceable, remaining provisions remain valid and enforceable.

12.6 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.
